POLICY
Code of Business Conduct & Ethics
The standards of honesty, respect and lawful dealing we expect from everyone acting for SolarisTech.
VERSION 2.0. EFFECTIVE 4 AUGUST 2026. NEXT REVIEW 4 AUGUST 2027.
SolarisTech is a small, principal-led company. That makes conduct simple to state and impossible to hide behind. This Code is the baseline for how every director, employee, contractor and representative behaves with each other, with clients and partners, and with the public. It is a condition of employment and of every contractor engagement.
Acting with integrity
- Act lawfully and honestly, in the legitimate interests of the client and of the public.
- Be accurate in our work, our records, our invoices and our communications. Do not overstate what we found, what we saw, or what we are able to do.
- Decline work we are not competent to perform or not free to perform.
- Keep our commitments, and own our mistakes in writing to the client rather than around them.
Respect in the workplace
- Treat colleagues, clients, partners and the public with respect, fairness and dignity.
- Maintain a workplace free from discrimination, harassment, bullying and retaliation.
- Attend vessels and client sites as guests: courteous to the crew, mindful of their rest hours and their workload, and never using our position to pressure anyone.
Confidentiality and proper use of information
- Protect confidential client, vessel and company information and use it only for the purpose for which it was given.
- Handle personal data, including crew data, under our Privacy and Information Security policies.
- Never use information obtained through an engagement for personal advantage, including in any dealing in shares, cargoes, vessels or freight.
- Return or delete client material at the end of an engagement where the contract requires it.
Conflicts, fair dealing and the law
- Disclose conflicts of interest promptly, including any personal or family interest in a client, yard, classification society, administration or vendor.
- Compete on merit. No bribery, no kickbacks, no fraud, no collusive or anti-competitive conduct.
- Comply with applicable law wherever we work, including US sanctions and export control requirements, and screen counterparties and vessels before accepting work where the engagement calls for it.
- Follow our Anti-Bribery and Anti-Corruption Policy and our Impartiality and Independence Policy, which govern where they are more specific than this Code, including the disclosure of our relationship with the society concerned and our representation of flag administrations.
Speaking up
Anyone who becomes aware of conduct that may breach this Code is expected to raise it, in person with the President where that is the right route, or in writing to admin@solaristechinc.com. Concerns raised in good faith are handled discreetly and are protected from retaliation. Because the company is small, a concern about the President cannot be raised internally in any meaningful way. A concern of that kind can be raised in writing to the company's outside counsel, whose contact details are provided on request to any employee, contractor or client.
Breach of this Code is taken seriously and may result in disciplinary action up to and including termination of employment or engagement, and, where the conduct warrants it, referral to the authorities. The Code is reviewed at least annually and updated as the company and its obligations change. Policy owner: Thomas H. Blenk, President and Chief Executive Officer. Reports and questions: admin@solaristechinc.com.
